I think he’s signed a deal. I have no evidence and this is a compete guess, but I think he’s agreed to let them use AI for his voice so that once he’s passed away they can keep using Red Hulk (in Hulk form at least) and his family can cash cheques.
He's replacing the late William Hurt. Red Hulk is always Thaddeus Ross, who's older. Like, complain about something useful

Funny enough, notorious penny pincher and all around asshole Ike Perlmutter demanded that Cap should fight the Hulk in Civil War because Mark Ruffalo was a lot cheaper than RDJ.

In the show ~~Captain~~ Falcon and the Winter Soldier, Falcon gets that new uniform. Before that he got the shield in the end of Avengers Endgame, becoming the new Captain America. I still think it should've been Bucky
Everyone thinks it should have been Bucky. I fucking love Anthony Mackie but he just doesn't feel right in that role to me.
Bucky does not make sense to be cap. Even in the comics THE legacy cap is Falcon. And Falcons mentality in the MCU fits so much more with Steve's ideology, Bucky does not
Bucky was Cap for a couple years in the early 2010s. There’s precedent.
I don't. I love Bucky, but I don't like him as the image that CA represents. Sam is so much better to me as that idealistic icon.

The next Captain America was always going to be Sam Wilson in the comics, and the MCU has followed closely enough that it would have been really weird to depart.
Steve handed Falcon the shield at the end of Endgame. He spends a mini series with Bucky struggling with Cap's legacy and if it's right for him (or anyone) to take his place.
